Snow Removal Service Agreement

S Size Driveway

This Snow Removal Service Contract (“Agreement”) made on the Effective Date below by and between Study Spaces Services LLC, with a mailing address of 266 Melrose St, Rochester NY 14619 the Client as defined below. Service Provider and Client are each referred to herein as a “Party” and, collectively, as the "Parties."

NOW, THEREFORE, FOR AND IN CONSIDERATION of the mutual promises and agreements contained herein, the Client hires the Service Provider to work under the terms and conditions hereby agreed upon by the Parties:

Scope of Services

The Service Provider agrees to provide the Services Requested checked in the list below at the Client Service Address listed below starting on the Start Date listed below and ending on the End Date listed below.

Services will be performed when snowfall reaches or exceeds 4 inches or as requested by Client.

Term and Termination

This Agreement is effective from the Effective Date and to the Termination Date listed below.

Either party may terminate the Agreement at any time with a 5 day written notice unless the Per Season Rate Model is requested.

Payments for services rendered up to the Termination Date remain due in full.

Service Schedule

Service Provider will use its reasonable business effort to start the snow removal services no later than 3 hours after snowfall ends.

For snowstorms lasting multiple days, interim services will be performed.

Service Provider will maintain communication with Client in cases of delay caused by severe weather conditions.

Rates

Client will pay Service Provider the Rates below for each Service Requested checked below according to the Rate Model checked below:.

Season Rate Model:
- $400 per season for driveway plowing.
- $200 per season for pathway clearing.
- $100 per season for de-icing.
- Payable in two equal payments:
  - One at the signature of this Agreement.
  - The other on February 1 of the following year.
Per-Service Rate Model:
- $40 per service for driveway plowing.
- $20 per service for pathway clearing.
- $10 per service for de-icing.
Per Hour Rate (Commercial Properties Only):
- $50/hour for plowing.
- $55/hour for pathway clearing and de-icing.
Additional charges of $25 apply for emergency or same-day requests.

Payment Terms: All payments are due by Client on receiving the Invoice.

Payment shall be performed via Venmo or Zelle using the (650) 296-9968 phone number.

A late fee of 10% will apply after 20 days from the due date.

Responsibi-lities of the Parties

Service Provider Responsibilities:

Provide all necessary equipment and materials to perform the Services checked below.

Ensure professional and timely service to minimize hazards on the property.

Client Responsibilities:

Ensure access to the property is free from obstructions (e.g., parked vehicles, locked gates).

Notify the Service Provider of any specific hazards or areas requiring extra care (e.g., hidden objects under snow, fragile landscaping).

Liability

The Service Provider shall not be held liable for damage to surfaces, landscaping, or obstacles hidden beneath snow.

The Service Provider will carry general liability insurance of a minimum of $1,000,000.

The Client agrees to indemnify the Service Provider against claims arising from hazardous conditions beyond their control.

Force Majeure

The Service Provider will not be held responsible for delays or inability to perform due to circumstances beyond reasonable control, including severe weather, equipment failure, or natural disasters.

Governing Law

This Agreement will be governed by and interpreted under the laws of the State of New York.
